Directors’ Report
Your Directors present their report together with the financial statements of the consolidated entity being Core
Lithium Ltd (“Core” or “the Company”) and its controlled entities (“the Group”) for the half year ended 31 December
2025 (“Half Year”).
Directors
The Directors of the Group who held office during the Half Year and up to the date of this report are stated below.
Directors were in office for this entire period unless otherwise stated.
Greg English Non-Executive Chair
Heath Hellewell Non-Executive Director
Malcolm McComas Non-Executive Director

Review of operations and financial results for the period
Core is the 100% owner of the Finniss Lithium Operation (“Finniss” or the “Project”), an established low-cost, long-
life restart opportunity located 88km by road from the Port of Darwin in the Northern Territory. Finniss is a multi-
mine, hard-rock lithium operation with a modern processing plant and existing infrastructure, 100% Core-owned.
Finniss Operations
During the half-year ended 31 December 2025, Core made significant progress across both operational and
corporate workstreams to advance the planned restart of lithium operations at the Finniss Project.
Following the release of the Finniss Restart Study (“Restart Study”) on 14 May 20251, the Group has continued
to de-risk and optimise the Finniss Restart Plan, underpinned by a substantial body of technical, design and
engineering work that has further strengthened Finniss’ pathway back to production.
Updated Carlton Ore Reserve and Exploration Target
An updated Ore Reserve Estimate (“ORE”) was declared at Carlton in September 2025, along with an Exploration
Target of between 1.2 and 1.8Mt at a grade of 1.2 and 1.4% Li2O below the existing Carlton Mineral Resource
(ML31726)2.
The new Exploration Target is in addition to the Mineral Resource Estimate of 48.5Mt @ 1.26% Li2O already
defined by Core at Finniss, and the combined BP33 and Blackbeard Exploration Target3 of 10.9Mt – 16.5Mt at a
grade of between 1.5% and 1.7% Li2O.
Cautionary statement: the potential quantity and grade of the Exploration Targets is conceptual in nature. There
has been insufficient exploration to estimate a Mineral Resource, and it is uncertain if further exploration will result
in the estimation of a Mineral Resource.

Updated Grants Mine Plan and Ore Reserve
Based on the outcomes of an updated geotechnical assessment for the Grants deposit, Core identified a
significant opportunity to bring forward revenue and reduce Grants pre-production capital costs. This resulted in
the delivery of an updated Mine Plan and Ore Reserve for Grants in November 2025.
Under a revised mine plan, Grants will now be initially mined as an open pit and will transition later to an
underground mine. This will reduce the re-establishment costs for Grants and bring first ore and revenue forward.
Pre-production capital for Grants is expected to be reduced by $35 - $45 million from the Restart Study estimate.
Underground mining recovery is also maximised by a change to the underground mining method to include waste
backfilling that can be sourced from underground development in Grants and Carlton link.
The updated Ore Reserve Estimate for Grants has been completed based on this revised plan, delivering a 33%
increase in overall tonnage and an increase in contained metal of 44%. The declaration of an upgraded Ore
Reserve at Grants leverages the substantial body of study work that has been conducted.
The overall Finniss Project ORE now sits at 15.6Mt @ 1.27% Li2O (refer Table 2 below).

The Grants and Carlton OREs and related assumptions were developed and supported by independent
consultants in conjunction with Core’s Competent Persons. Supporting information and the relevant JORC tables
can be found in Core’s ASX announcements “Updated Grants Mine Plan and Ore Reserve” released on 10
November 2025, and “Updated Ore Reserve at Carlton” released on 10 September 2025.
Site and Environmental Activities
Care and Maintenance activities continued across multiple areas at Finniss during the period, with Core
maintaining a strong focus on safety performance. There were no recordable injuries or safety or environmental
incidents during the half-year period.
Environmental compliance remained a priority, underpinned by ongoing monitoring and reporting of water
management and pollutant inventories. Minor works were completed during the dry season at BP33 and Grants,
including targeted repairs to dam infrastructure and desilting of sediment basins. Water management activities
included the transfer of 166 ML from the Grants pit to surface storage.
In preparation for the wet season, drains and sediment basins at both sites were cleaned and reinstated in October
to ensure optimal performance. Legislative changes gazetted in September required the incorporation of revised
water extraction licences into the Mining Management Plans for Grants and BP33, permitting groundwater
extraction associated with open-pit or underground operations.
Water discharge at Grants commenced in November following early-season rainfall that increased creek flows to
sustainable release levels. Additional siphons were installed to increase short-term discharge volumes during
rainfall events, providing the ability to fully dewater the Grants pit if required during the current wet season.
In December, discharge infrastructure was also installed at BP33 along with pumping systems to enable transfer
of water from the box cut to the mine water dam. This infrastructure will support full dewatering of the box cut
when required.
Exploration
Lithium Exploration
At Blackbeard, planning for a diamond drilling program in FY26 remains ongoing. This program is designed to
test the geology and lithium mineralisation associated with the Exploration Target at depth. The objective is to
gather sufficient geological data to assess the potential for a future Mineral Resource Estimate.
Gold Exploration
Surface geochemical sampling was conducted during the half year period at the Mt Shoobridge prospect (part of
Core’s wholly owned Shoobridge Gold Project) to assess prospective regional gold targets. A total of 345 soil
samples were collected, with samples submitted to Intertek Genalysis for analysis.
Mt Shoobridge is strategically located approximately 10km from the Stuart Highway and 60km from the Union
Reefs gold processing plant, within the Pine Creek Orogen – a region that hosts multiple multi-million-ounce gold
deposits. With gold prices trading around record highs, Shoobridge presents a strategic opportunity alongside
Core’s primary focus on lithium.
6
Results of Operations
Total consolidated comprehensive loss of the Group for the six months to 31 December 2025 was $19.4 million
(31 December 2024: total consolidated comprehensive loss of $17.2 million).
The Company’s basic loss per share was 0.80 cents per share (31 December 2024: loss of 0.82 cents per share).
No dividend has been paid during or is recommended for the half-year ended 31 December 2025 in line with the
previous period.
Financial Position
As at 31 December 2025, Core had a cash balance of $48.7 million. Significant cash flows during the half-year
include:
• Exploration expenditure of $1.0 million
• Finniss site maintenance costs of $1.8 million, primarily related to DMS plant care and maintenance for
operational readiness, and site salaries
• Expenses relating to employee and other corporate-related expenses of $5.6 million
• The final payment for the crushing plant acquisition of $9.5 million
• One-off non-recurring payment of $3.0 million (US$2.0 million) in relation to the termination of the Ganfeng
offtake agreement
• One-off cash receipt from the sale of non-core uranium assets to Elevate Uranium $2.5 million
• Payment of $1.0 million relating to the outstanding mineral royalty liability with the NT government
• Key technical workstreams progressed to conclusion to support Final Investment Decision (FID) costs of
$1.7 million
Core has made strategic decisions that have contributed to a significant reduction in liabilities, strengthening its
financial position and enhancing its balance sheet with all offtake, contingent liabilities and onerous contracts from
the operating period at Finniss resolved.
All material exploration activities and initiatives related to FID are evaluated in the context of current funding and
their relevance to advancing the Finniss project towards FID. Core continues to evaluate its broader asset
portfolio, including non-core tenements, to ensure capital and management focus remain aligned with the Group’s
development strategy and near-term priorities.
Core also continues to maintain a stockpile of approximately 5,000 tonnes of spodumene concentrate and 75,000
tonnes of lithium fines, which remain available for sale. In the context of improved market conditions, the Group
continues to monitor potential opportunities to monetise these stockpiles where it is commercially attractive.
Corporate
Successful capital raising
In late August 2025, the Company initiated a capital raising, whereby it received firm commitments to raise gross
proceeds of $50 million at a price of $0.105 per share through a two-tranche Placement (Placement) and Share
Purchase Plan (“SPP”).
The Placement received strong support from new institutional investors, including a selection of high-quality
cornerstone investors from the Americas and Australia.
Tranche 2 of the Placement was completed following receipt of shareholder approval at the Company’s Annual
General Meeting (“AGM”) held on 10 October 2025.
The SPP was conducted at an issue price of $0.105 per share, the same price as the Placement, to eligible
shareholders in Australia and New Zealand. The SPP raised ~$4.3 million through the issue of approximately 41.3
million new CXO shares on 29 September 2025.
The capital raising will enable Core to accelerate the advancement of FID and undertake operational readiness
activities, and strengthening Core’s balance sheet to support the ongoing strategic funding process.
7
Settlement of offtake contracts and related obligations
In September 2025, Core made a one-off payment of $3.0 million (US$2.0 million) in cash to terminate the existing
offtake agreement with Ganfeng Lithium Co. in relation to the sale of spodumene concentrate.4
Core refers to its previous announcements5 and to disclosures in the 2025 Annual Report regarding ongoing
discussions concerning a potential offtake agreement with Tesla, Inc.
Consistent with the stated strategy to support a future restart of the Finniss Lithium Operation, the Company has
agreed with Tesla to formally discontinue offtake discussions through the execution of a comprehensive, legally
binding settlement agreement. The precise terms of the settlement are confidential; however, as part of the
agreement, both parties have agreed to fully and finally release each other from all potential claims related to the
previously disclosed dispute.
The settlement resolves all offtake contracts and related obligations, leaving all future production from Finniss
unencumbered.
Sale of non-core uranium assets
In December 2025, Core entered into an unconditional Share Sale Agreement with Elevate Uranium Ltd
(ASX:EL8) (“Elevate”) for the sale of its 100% interests in the Napperby, Fitton and Entia Uranium Projects
(collectively “the Uranium Assets”) which comprise four mineral exploration tenements in the Northern Territory
(EL31449, EL29347, EL29389 and EL30793) and two mineral exploration tenements in South Australia (EL6445
and EL6574).
In consideration for the sale of the Uranium Assets, Core received:
• cash consideration of $2.5 million;
• 8,923,738 million fully paid ordinary shares in Elevate, valued at $2.5 million based on the 15-day volume
weighted average price of Elevate shares prior to the date of the Agreement with 4,461,869 Elevate
shares subject to a six-month voluntary escrow period; and
• a Net Smelter Royalty (“NSR”) of 1.0% on any metals or minerals produced from EL31449, which hosts
Napperby Project area.
Small share sale facility
Core completed a small shareholding share sale facility (“Facility”) for shareholders whose holding of fully paid
ordinary shares (“Shares”) were valued at less than $500.
The number of Shares sold under the Facility was 35,100,871 Shares (representing approximately 1.3% of the
issued capital) held by 21,817 shareholders were sold at the sale price of $0.2375 per Share.
NT Royalty agreement
During the half year period, Core entered into an instalment agreement with the NT government for the payment
of its Mineral Royalty liability.
The Northern Territory Revenue Office (“TRO”) issued Core with a Notice of Assessment for additional royalties
payable for FY23 of approximately $6.4 million6. Through proactive engagement, Core worked with the Northern
Territory Government to correct an over-estimation in historical royalty assessments, resulting in a $1.0 million
adjustment and a $0.9 million amount due to Core, with an outstanding balance (excluding interest) of
approximately $3.8 million.
Under this agreement, Core has agreed to make three payments of $1 million on a semi-annual basis starting in
December 2025, with a fourth and final payment of the remaining balance due on 31 March 2027. Core paid the
first instalment in mid-December 2025.

8
Project and Strategic Funding
Key technical workstreams, including geotechnical, water management, mine design and operational sequencing,
have advanced significantly and remain on schedule to support a Final Investment Decision. These activities
continue to de-risk the restart plan and are fully aligned with the scope defined in the Restart Study.
The strategic funding process is progressing as planned, with strong interest from high-quality counterparties.
Recent improvements in lithium market conditions has provided increased flexibility and optionality in the process.
Significant changes to the state of affairs
There have been no changes in the state of affairs of the Group that occurred during the Half Year under review
not otherwise disclosed in this Directors’ Report.
Rounding of amounts
